Terms of Service

1. Definitions

"Platform" refers to PaiX Navigator, including all web interfaces, APIs, and related services.

"Services" refers to the AI-assisted data request creation, metadata exploration, chat interface, and data delivery features provided through the Platform.

"User," "you," or "your" refers to any individual or entity that accesses or uses the Platform.

"Data Request" refers to a structured specification for biomedical data created through the Platform's assisted workflow.

2. Account Registration and Eligibility

2.1 Account Creation

To access the Platform, you must create an account by providing accurate and complete information, including your full name, work email address, organization, and professional role. You are responsible for maintaining the confidentiality of your account credentials.

2.2 Eligibility

The Platform is intended for use by professionals and organizations in biomedical research, healthcare, pharmaceutical development, and related fields. You must be at least 18 years old and have the authority to bind your organization to these Terms if registering on behalf of an entity.

2.3 Account Security

You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized access or security breach. PaiX Inc. is not liable for any loss resulting from unauthorized use of your account.

3. Permitted Use

3.1 Intended Purpose

The Platform is designed to assist you in discovering, specifying, and requesting biomedical datasets for legitimate research and commercial purposes. You may use the AI chat interface, document upload features, and data request forms in accordance with these Terms.

3.2 Restrictions

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable regulations
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
• Submit false, misleading, or fraudulent data requests
• Share your account credentials with unauthorized third parties
• Use automated tools or bots to access the Platform without prior written consent
• Attempt to circumvent any security measures or access controls

4. Data Requests and Fulfillment

4.1 Request Process

Data Requests submitted through the Platform are subject to review by our data sourcing team. Submission of a Data Request does not guarantee data availability or delivery. We will make reasonable efforts to fulfill valid requests within the scope of our data partnerships.

4.2 Accuracy

While the Platform uses AI to assist in creating Data Requests, you are responsible for reviewing and verifying the accuracy of all generated specifications before submission. AI-generated suggestions are provided as assistance and should not be relied upon without human review.

5. Intellectual Property

5.1 Platform Ownership

The Platform, including its AI models, user interface, documentation, and all related intellectual property, is owned by PaiX Inc. and is protected by applicable intellectual property laws.

5.2 User Content

You retain ownership of documents, data specifications, and other content you upload or create through the Platform. By uploading content, you grant PaiX Inc. a limited license to process such content solely for the purpose of providing the Services.

6. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with GDPR and other applicable data protection regulations.

7. Fees and Payment

Certain features of the Platform may require payment. Pricing for data requests will be communicated before you commit to a purchase. All fees are subject to the terms specified at the time of your order. Payment terms, refund policies, and billing procedures will be detailed in separate order documentation.

8. Limitation of Liability

To the maximum extent permitted by law, PaiX Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claims relating to the Services shall not exceed the amount you paid to PaiX Inc. in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate this agreement at any time. PaiX Inc. reserves the right to suspend or terminate your account if you violate these Terms. Upon termination, your right to access the Platform ceases, though provisions that by their nature should survive (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a notice on the Platform at least 30 days before they take effect. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes shall be resolved in the courts of Berlin, Germany, unless otherwise required by applicable consumer protection laws.
